Affiliate Program Agreement

The affiliate program allows approved partners to promote the Face Harmony iOS application (and, where enabled, Android) in exchange for a commission on qualifying subscription revenue attributed to their unique referral link.

Applications are reviewed manually. Approval is at our sole discretion and does not create an employment, partnership, agency, or franchise relationship. Once approved, you receive a unique referral URL and Apple Search Ads campaign token (ct) assigned by us. You may not create, share, or use any tracking token other than the one we issue to you.

Your commission percentage is set on your private welcome page and communicated to you in writing at approval. We may change your commission rate on 30 days' written notice to your email of record. Rate changes apply to subscriptions attributed after the effective date and do not retroactively adjust prior earnings.

Attribution is determined by Apple's App Store attribution (and Google Play Install Referrer for Android when enabled). A purchase is “attributed” to you when Apple/Google reports the install as caused by your campaign token within their standard attribution window (typically 24 hours from the most recent tap of your link). We rely on the platform's reporting as the source of truth. We are not liable for attribution not recorded by Apple or Google.

Commissions are calculated on net proceeds we receive after Apple/Google platform fees, taxes, and refunds. Commissions become eligible for payout after a hold period of at least 45 days from the end of the month of the sale, to allow for refunds and chargebacks. Refunded, charged-back, or reversed transactions are deducted from your balance, including from future payouts if necessary. Minimum payout threshold and cadence are set per partner. Payouts are made in USD via the payout provider we select (e.g. Stripe Connect, Trolley, Tipalti). You are responsible for keeping your payout account current.

You are solely responsible for all taxes on your commissions. Before your first payout, you must submit a valid IRS Form W-9 (U.S. persons and entities) or the appropriate Form W-8 (non-U.S. persons and entities) through our payout provider. If we pay a U.S. affiliate $2,000 or more in a calendar year, we will issue a Form 1099-NEC as required by law. Payouts will not be released until required tax forms are on file and verified.

You must clearly and conspicuously disclose that you earn a commission whenever you promote Face Harmony, in accordance with the U.S. Federal Trade Commission's Endorsement Guides and equivalent laws in your jurisdiction. Acceptable examples include “I earn a commission through this link,” “#ad,” or “#sponsored,” placed at the start of the caption/description and repeated verbally in video/audio content. See our Disclosure Guidelines for required wording per platform. Misleading endorsements, fake reviews, or testimonials you have not personally experienced are prohibited.

You may not:

• Use your own referral link for your own installs or subscriptions.
• Use paid search ads on Face Harmony, Face Harmony App LLC, or trademarked variants.
• Buy installs, use incentivized traffic, bots, click farms, or install farms.
• Run cookie stuffing, iframe injection, or forced-click schemes.
• Impersonate Face Harmony, Face Harmony App LLC, or its team, or imply an official partnership beyond “affiliate.”
• Claim Face Harmony diagnoses medical conditions, provides clinical advice, or guarantees any physical, cosmetic, or aesthetic result.
• Promote on sites containing adult content, hate speech, harassment, violence, or illegal content.
• Distribute your link via unsolicited email, SMS, or spam.
• Violate Apple, Google, or any platform's policies.

We grant you a limited, revocable, non-exclusive license to use the Face Harmony name, logo, screenshots, and marketing assets solely to promote the app under this agreement. You may not modify our marks, register domains that include our marks, run ads on our trademarks, or use our marks in a way that implies endorsement beyond “affiliate.”

Either party may terminate this agreement at any time for any reason. We may suspend or terminate your account immediately for violation of this agreement, suspected fraud, or violation of platform or applicable law. On termination, unpaid commissions from legitimate, non-fraudulent traffic that has cleared the hold period will be paid on the next regular payout cycle; commissions tied to fraudulent or policy-violating traffic are forfeited.

Commission percentages, attribution data, aggregate revenue, and your private welcome page are confidential. You may not disclose them publicly or share your welcome-page link with third parties.

The program and the app are provided “as is.” To the maximum extent permitted by law, our aggregate liability under this agreement is limited to the commissions paid or payable to you in the six months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

You will indemnify and hold us harmless from claims arising out of your promotional activity, breach of this agreement, or violation of law, including FTC disclosure violations, false advertising claims, and platform-policy violations attributable to your promotion.

This agreement is governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Delaware, and both parties consent to that jurisdiction.

We may update this agreement. Material changes will be communicated by email and by updating the version number at the top of this page. Continued participation after 30 days constitutes acceptance. For safety, we may also require explicit re-acceptance on your private welcome page before releasing further payouts.
